These Terms and Conditions apply to all services provided by WordWorx, owned by Elizabeth Joss, registered in the Netherlands. By working with WordWorx, you agree to the following terms.

1. Services

WordWorx provides English copywriting, editing, SEO consultancy, and training services in communications, marketing, and SEO-related topics. Specific deliverables, timelines, and costs will be agreed in writing before a project begins.
All services are provided on a business-to-business (B2B) basis only.

2. Quotations, Briefs and Payment

  • Quotations are valid for 30 days unless otherwise stated.
  • For larger projects, WordWorx will provide a written brief in a Google Drive folder. Once the client agrees to this brief, an invoice will be issued.
  • Clients can accept a quotation either by clicking “accept” in the quotation email (sent via WordWorx bookkeeping software) or by confirming in writing via email.
  • For larger projects, a deposit of 50% is required before any work will commence.
  • For smaller projects, invoices will be sent directly after completion of the work.
  • WordWorx reserves the right to issue interim invoices once the majority of the work has been completed, even if client feedback or additional input is still pending.
  • Payment is due within 30 days of the invoice date, in line with Dutch business regulations.
  • In the event of late payment, WordWorx reserves the right to charge statutory interest (wettelijke rente) and reasonable collection costs as permitted under Dutch law.
  • For clients within the EU, VAT will be applied in accordance with EU cross-border VAT rules. Clients outside the Netherlands are responsible for providing a valid VAT number where applicable.
  • All work remains the property of WordWorx until full payment is received.

3. Revisions

Unless otherwise agreed, two rounds of revisions are included in the quoted price. Any additional revisions requested by the client will be billed separately at WordWorx’s standard hourly rate.

4. Client Responsibilities

The client agrees to provide accurate, timely information and feedback to enable WordWorx to complete the work as agreed. Delays in providing input may affect deadlines.

5. Feedback and Collaboration

  • Feedback on documents and content must be provided in writing on the original document supplied by WordWorx (via Google Drive or Dropbox). Feedback provided by email will not be considered official.
  • Feedback may also be provided verbally in a scheduled call, in which case WordWorx will document the feedback in writing.
  • For privacy and security reasons, WordWorx will not access or work directly within a client’s internal systems, folders, or drives.
  • It is the client’s responsibility to upload any necessary materials to the designated WordWorx workspace.

6. Deadlines and Delivery

WordWorx will make every effort to meet agreed deadlines. However, WordWorx cannot be held responsible for delays outside its control.

7. Intellectual Property

Copyright and ownership of the final deliverables transfer to the client once full payment has been received. WordWorx reserves the right to showcase completed work in its portfolio unless otherwise agreed.

8. Training Materials and Copyright

All training materials and tailor-made content created by WordWorx or Elizabeth Joss remain the intellectual property of WordWorx.

  • Such materials are strictly for the client’s internal use and may not be published, copied, distributed, or shared publicly (including online).
  • Replication or reproduction of training content is forbidden without prior written permission.

9. Confidentiality

WordWorx will treat all client information and materials as confidential.

10. Data Security and Online Tools

WordWorx makes use of secure online storage services such as Google Drive and Dropbox to share and store project files. Every effort is made to keep client information safe and secure. However, as these platforms make use of artificial intelligence and cloud technology, WordWorx cannot be held liable for any unauthorised access, data loss, or security breaches that may occur due to factors beyond its control, including hacking or system vulnerabilities.

11. Corporate Training Bookings

  • Once a client accepts a quotation for a corporate training, preparation work begins immediately. From that moment, the client is fully liable for the agreed training fee.
  • Training sessions cannot be cancelled or refunded once confirmed.
  • In the event of sickness or other serious circumstances, the client may reschedule the training dates in consultation with WordWorx and the trainer. However, refunds will not be issued.

12. Testimonials and Case Studies

WordWorx may occasionally showcase completed work as part of testimonials, case studies, or portfolio items on its website (elizabethjoss.com), LinkedIn, or other professional channels.

  • Screenshots or examples will only be shared once the client has published the work publicly and it has been released to relevant stakeholders.
  • If a Non-Disclosure Agreement (NDA) is in place, WordWorx will fully respect its terms and will not disclose any information or materials.

13. Cancellations

If a project is cancelled after work has started, WordWorx may invoice for work completed up to that point. A cancellation fee of up to 50% of the project value may apply.

14. Right to Terminate Work

WordWorx reserves the right to suspend or terminate work with a client if the relationship becomes unprofessional, unreasonable, or deviates from the initial agreement. In such cases, WordWorx will issue an invoice for all work completed up to the point of termination. No further obligations will apply.

15. Liability

While every effort is made to ensure accuracy, WordWorx is not responsible for any indirect loss, reputational damage, or legal issues arising from the use of the content. Clients remain responsible for the factual and legal accuracy of all materials.

16. Force Majeure

WordWorx shall not be held liable for failure or delay in fulfilling obligations due to circumstances beyond its reasonable control, including but not limited to illness, strikes, internet outages, natural disasters, or government restrictions.

17. Governing Law and Jurisdiction

These Terms and Conditions are governed by Dutch law. Any disputes arising under these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of The Hague, the Netherlands.

18. Language

These Terms and Conditions are drafted in English. In the event of any discrepancy between the English version and a translated version, the English text shall prevail.
